These Terms of Service (“Terms”) govern your access to and use of the G-Rollz trade and wholesale portal (the “Service”), including websites, applications, and related tools made available to approved trade partners. By accessing or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the business you represent.
The Service is offered to businesses and authorised personnel in connection with wholesale and trade relationships. You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms, pose a security risk, or are inactive according to our policies.
Use of the Service does not, by itself, establish a distribution agreement or guarantee any pricing, allocation, or credit. Commercial terms—including product availability, minimum orders, pricing, payment terms, shipping, returns, and compliance requirements—are governed by separate contracts, order acknowledgements, or policies between your organisation and G-Rollz or its authorised distributors, as applicable. Where those documents conflict with these Terms on commercial matters, the commercial documents prevail.

The Service, including its design, branding, software, and content (excluding your submissions and third-party materials), is owned by G-Rollz or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended business purpose during your authorised access. You may not copy, modify, distribute, sell, or lease any part of the Service except as allowed by law or with our prior written consent.
You retain ownership of information and files you submit through the Service. You grant us a licence to use, store, and process such content as needed to operate the Service, fulfil orders, comply with law, and improve our offerings, consistent with our Privacy Policy.
The Service may integrate sign-in or other features provided by third parties (for example Google or Apple). Your use of those features is also subject to the applicable third-party terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, G-ROLLZ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED EUROS (€100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER MANDATORY LAW.
To the extent permitted by law, you will indemnify and hold harmless G-Rollz and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or violation of third-party rights, except to the extent caused by our wilful misconduct.
We may suspend or terminate access to the Service with or without notice where we reasonably believe it is necessary for security, legal compliance, or breach of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
We may modify or discontinue features of the Service. We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.
These Terms are governed by the laws applicable to the contracting G-Rollz entity named in your trade or distribution agreement, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive jurisdiction over disputes, unless mandatory consumer or employment protections in your country provide otherwise for you personally.
These Terms constitute the entire agreement between you and G-Rollz regarding the Service and supersede prior understandings on the same subject. If any provision is invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
